ARTICLE I - NAME, PURPOSE
Section 1: The name of the organization shall be “Duff Dads Club”
Section 2: The Duff Dads Club is organized exclusively for charitable and educational purposes, more specifically to enrich the lives of the students of Duff Elementary.
ARTICLE II - MEMBERSHIP
Section 1: Membership.  Voting members shall consist of any male parent, male legal guardian or other male approved by all legal guardians of a student at Duff Elementary.
Section 2: Voting Members are required to be on the official AISD Volunteer list to participate in any Duff Dads Club activities or vote in any election or vote for any motion.
Section 3: Associate membership.  Associate members are required to be on the official AISD Volunteer list, but are not voting members.
ARTICLE III - MEETINGS
Section 1: Annual Meeting. The date of the regular annual meeting shall be set by the Executive Committee who shall also set the time and place.
Section 2: Meetings. Meetings may be called by the President of the Duff Dads Club or the Executive Committee who shall also set the time and place.  A minimum of one meeting per semester is required.
Section 3: Notice. Notice of each meeting shall be given to each voting member, by email, not less than seven days before the meeting.  The secretary or other member of the executive committee will attempt to contact those members without email addresses.
ARTICLE IV - OPERATION
Section 1: Fiscal Year.  Duff Dads Club Fiscal Year begins on July 1st and ends on June 30th.
Section 2: Excess Funds.  All funds in excess of $1000 in the general account as of June 30th may be distributed to a Duff organization or entity chosen by the voting membership.  Funds can be kept in specific project accounts for projects in excess of $1000.
Section3: Two executive committee members, which must include either the President or Treasurer, are required to distribute funds up to $250 without prior Duff Dads Club membership approval.  Amounts greater than $250 must be pre-authorized prior to an event by a vote at a general meeting.
Section 4: No member may commit the Duff Dads Club to future financial commitments exceeding $250 without a pre-authorization vote at a general meeting.  Pre-authorizations must be granted to a Committee Chair or Executive Committee member.
Section 5: Standard Meeting Format.

ARTICLE V – EXECUTIVE COMMITTEE
Section 1: Executive Committee Role.  The Executive Committee is responsible for overall policy and direction of the Duff Dads Club, and delegates responsibility for day-to-day operations to the committees.
Section 2: Meetings. The Executive Committee shall meet at least twice a year at an agreed upon time and place.
Section 3: Executive Committee Elections. Election of new committee members or election of current committee members to a second term will occur as the first item of business at the annual meeting.  Directors will be elected by a majority vote of the Duff Dads Club membership in attendance.
Section 4: Terms. All Executive Committee members shall serve a one year term, but are eligible for re-election.
Section 5: Quorum. A quorum must be attended by 60 percent of the Executive Committee members and an equal number of Duff Dads Club Members at large before business can be transacted or motions made or passed.
Section 6: Notice. An official Executive Committee meeting requires that each Committee member have email notice one week in advance.  The secretary or other member of the executive committee will attempt to contact those members without email addresses.
Section 7. Officers and Duties. There shall be 5 or more officers of the Executive Committee consisting of a President, Vice President, Secretary, Treasurer and Standing Committee Chairmen.  Their duties are as follows:

  • The President shall convene regularly scheduled Duff Dads Club meetings, shall preside or arrange for other members of the executive committee to preside at each meeting in the following order: Vice-President, Secretary and Treasurer.
  • The Vice- President may chair committees on special subjects as designated by the Executive Committee.
  • The Secretary shall be responsible for keeping records of Executive Committee actions, including overseeing the taking of minutes at all board meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Executive Committee members, and assuring that corporate records are maintained.
  • The Treasurer shall make a report at each Executive Committee meeting. Treasurer shall chair the finance committee, assist in the preparation of the budget, help develop fundraising plans, and make financial information available to Duff Dads Club members and the public.
  • Standing Committee Chairmen are responsible for reporting to the Executive Committee and the Duff Dads Club membership all of the activities of the various sub-committees.  These committees will consist of but are not limited to: Social, Beautification, Finance and Education.

Section 8: Vacancies. When a vacancy on the Executive Committee exists, nominations for new members may be received from Duff Dads Club members by the Secretary one week in advance of a Club meeting. These nominations shall be sent out to Duff Dads Club members with the regular Duff Dads Club meeting announcement, to be voted upon at the next Duff Dads Club meeting. These vacancies will be filled only to the end of the particular Executive Committee member's term.
Section 9: Resignation, Termination and Absences. Resignation from the Executive Committee must be in writing and received by the Secretary. An Executive Committee member shall be dropped for excess absences from the Executive Committee if he has three unexcused absences from Executive Committee meetings in a year. An Executive Committee member may be removed from office for other reasons by a three-fourths vote of the remaining Duff Dads Club Members.
Section 10: Special Meetings. Special meetings of the Executive Committee shall be called upon the request of the President or one-third of the Executive Committee. Notices of special meetings shall be sent out by the Secretary to each Duff Dads Club member by email one week in advance.  The secretary or other member of the executive committee will attempt to contact those members without email addresses.

ARTICLE VI - COMMITTEES
Section 1: The Executive Committee may create committees as needed, such as fundraising, social, etc.  The Committee Chair is selected by the members of the committee.
ARTICLE VII - AMENDMENTS
Section 1: These Bylaws may be amended when necessary by a two-thirds majority of the voting Duff Dads Club Members in attendance. Proposed amendments must be submitted to the Secretary to be sent out with regular Duff Dads Club announcements, to be voted upon at the next Duff Dads Club meeting.
ARTICLE VIII – LIABILITY
Section 1: No officer or Duff Dads Club member shall be liable to the Duff Dads Club for any action, or failure to act, by such officer or Duff Dads Club member on behalf of the Duff Dads Club for its benefit if such action, or failure to action, was taken, or refrained from, in good faith and without gross negligence.

These Bylaws were approved at a meeting of the Duff Dads Club on October 24, 2006.
